Terms of Use

These Terms of Use (the “Terms”) form a binding agreement between you (“you” or “Customer”) and Redacted Labs, Corp., a Delaware corporation (“Redacted Labs,” “we,” “us,” or “our”), governing your access to and use of the Pinstripes inference API, dashboard, documentation, and related websites located at pinstripes.io (collectively, the “Service”).
By creating an account, generating an API key, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity. If you do not agree to these Terms, do not use the Service.
1. The Service
Pinstripes provides an OpenAI-compatible HTTP API for running inference against open-weight large language models that we host on managed GPU infrastructure. We may add, modify, deprecate, or remove models, endpoints, features, and rate limits over time. Model availability and performance are not guaranteed, and the open-weight models offered through the Service are developed by third parties and provided on an as-available basis.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate account information, including a valid email address, and to keep it current. You are responsible for all activity that occurs under your account.
We offer optional account-security features, including email verification and two-factor authentication. You are responsible for maintaining the confidentiality of your account credentials and for enabling appropriate security controls.
3. API Keys
Access to the API is authenticated using secret API keys. Treat your keys as you would a password:
- Do not embed keys in client-side code, public repositories, or shared environments.
- Rotate or revoke keys promptly if you believe they have been exposed.
- You are responsible for all usage and charges incurred under any key issued to your account, whether or not authorized by you, until the key is revoked.
We may suspend or revoke keys that we reasonably believe have been compromised or are being used in violation of these Terms.
4. Acceptable Use
You agree not to use the Service to:
- violate any applicable law or regulation, or infringe the intellectual-property, privacy, or other rights of any third party;
- generate or distribute content that is unlawful, that sexually exploits or endangers minors, or that facilitates violence, harassment, or unlawful discrimination;
- develop weapons, operate critical infrastructure, or make automated decisions in high-risk domains (such as medical, legal, or financial advice) without appropriate human review and qualified oversight;
- attempt to probe, scan, circumvent, overload, or disrupt the Service or its infrastructure, including bypassing rate limits, authentication, or billing controls;
- scrape or use automated means to access the Service except through the documented API, or use the Service or its Outputs to train, fine-tune, or build a competing model or service;
- reverse engineer, resell, or sublicense the Service except as expressly permitted, or copy our infrastructure or non-public interfaces;
- misrepresent the source of generated content, or present model output as professional advice or as human-authored where doing so would be deceptive.
You are solely responsible for the inputs you submit and for evaluating outputs before relying on them. Model output may be inaccurate, incomplete, or offensive, and should not be treated as a substitute for professional judgment.
5. Your Representations
You represent and warrant that:
- you have all rights, consents, and permissions necessary to submit your Inputs and to authorize us to process them;
- your Inputs, and your use of Outputs, do not and will not infringe, misappropriate, or violate any third party’s intellectual-property, privacy, publicity, or other rights, or any applicable law;
- you will not submit personal information about others without a lawful basis, and you will not submit sensitive or special-category data except where you are permitted to do so and accept the associated risk; and
- the information you provide to us is accurate and kept current.
6. Fees, Credits, and Billing
The Service operates on a prepaid, usage-based model. You add credits to your account through our payment processor, and we deduct charges from your balance based on the number of input, output, and cached tokens processed per request, at the rates published on our pricing pages and returned by the API at the time of the request.
- Prepaid credits. You must maintain a positive balance to make billable requests. When your balance is exhausted, requests may be rejected until additional credits are added.
- No expiration. Purchased credits do not expire while your account remains in good standing.
- Promotional credits. We may grant promotional credits at our discretion. Promotional credits have no cash value and may expire or be revoked.
- Pricing changes. Per-token rates may vary with demand and may change over time. The applicable rate for a request is the rate in effect when the request is processed.
- Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, value-added, or similar taxes, excluding taxes on our net income.
Except where required by law, payments and credit purchases are non-refundable. Invoiced (net-terms) billing is available to eligible customers by separate arrangement; for those accounts, payment is due according to the terms stated on the invoice, and overdue balances may result in suspension.
Payment processing is handled by a third-party processor (Stripe). We do not store full payment-card numbers. Your use of payment features is also subject to the processor’s terms.
7. Rate Limits and Availability
We enforce per-key and fleet-wide rate limits to protect the Service. When a limit is exceeded, requests may receive an HTTP 429 response. We do not guarantee any particular level of throughput, latency, or uptime unless committed in a separate written agreement.
8. Customer Content and Ownership
Your inputs. As between you and us, you retain all rights in the prompts and other data you submit to the Service (“Inputs”). You grant us a limited license to process Inputs solely to provide and maintain the Service.
Outputs. Subject to your compliance with these Terms, we assign to you whatever rights we may hold in the content generated for you in response to your Inputs (“Outputs”). Because of the nature of machine learning, Outputs may not be unique, and other users may receive similar or identical content. You are responsible for ensuring that your use of Inputs and Outputs complies with applicable law.
No training on your content. We do not use your Inputs or Outputs to train, fine-tune, or improve any model. See our Privacy Policy for details on how data is handled.
9. Third-Party Models and Services
The models offered through the Service are open-weight models developed and licensed by third parties. Your use of certain models, and of their Outputs, may be subject to the license, acceptable-use, or other terms that accompany the underlying model (for example, a model provider’s community or open-weight license). You are responsible for reviewing and complying with any such terms that apply to the models you choose to use. The Service may also link to or interoperate with third-party services governed by their own terms and privacy policies; we are not responsible for those services, and you use them at your own risk.
10. Usage Data and Feedback
Usage data. We collect and generate technical and operational data about how the Service is used — such as request metadata, token counts, latency, error rates, and aggregated traffic patterns (“Usage Data”). As between the parties, we own Usage Data and may use it to operate, secure, analyze, bill for, and improve the Service, provided that we do not use the content of your Inputs or Outputs to train models and do not publish Usage Data in a form that identifies you.
Feedback. If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or obligation to you.
11. Intellectual Property
The Service, including its software, documentation, and the Pinstripes name and marks, is owned by Redacted Labs or its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms. No other rights are granted by implication.
12. Confidentiality
Each party may have access to non-public information of the other in connection with the Service. The receiving party will use the disclosing party’s confidential information only as needed under these Terms and will protect it with reasonable care. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or is independently developed or lawfully obtained from another source.
13. Copyright Complaints
We respond to notices of alleged copyright infringement in accordance with the U.S. Digital Millennium Copyright Act. If you believe content associated with the Service infringes your copyright, send a notice with the information required by the DMCA to [email protected]. We may remove allegedly infringing material and terminate the accounts of repeat infringers.
14. Publicity
We may identify you as a customer and use your name and logo in marketing materials and on our website, consistent with any brand guidelines you provide. You may opt out at any time by contacting us at [email protected].
15. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required by law, if your payment fails or your balance is insufficient, or to protect the Service or other users. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including Fees, ownership, usage data, confidentiality, disclaimers, limitation of liability, and governing law) will survive.
16. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
18. Indemnification
You will defend, indemnify, and hold harmless Redacted Labs and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Inputs, your Outputs, or your use of the Service in violation of these Terms or applicable law.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions below.
Binding arbitration. Except for the carve-outs described below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Delaware and conducted in English.
Jury and class-action waivers. You and we each waive any right to a jury trial and agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.
30-day opt-out. You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
Carve-outs. Either party may bring a qualifying claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information. If the arbitration agreement is found unenforceable, the dispute will be heard exclusively in the state or federal courts located in Delaware, and the parties consent to the jurisdiction of those courts.
20. Export and Sanctions Compliance
You represent that you are not located in, and will not use the Service from or on behalf of, any country or party subject to U.S. embargoes or sanctions, and that you will comply with all applicable export-control and sanctions laws, including those administered by OFAC.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
22. General
These Terms, together with our Privacy Policy and any order forms or invoices, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
